These Terms and Conditions (“Terms”) govern your access to and use of the website https://firstmovestudio.co (the “Site”), operated by FIRST MOVE LLC (“First Move,” “we,” “us,” or “our”), a Florida limited liability company based in Miami, Florida.
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Site.

OUR SERVICES
First Move is a creative agency providing experiential production, brand strategy, content production, and related creative services.
The Site is intended solely to provide information about our services, showcase our work, and allow potential clients to contact us. Use of this Site does not create a client relationship. All services provided by First Move are governed exclusively by separate written agreements.
The Site does not provide professional, legal, financial, or regulated advisory services.

ELIGIBILITY
You must be at least 18 years old to use this Site.

INTELLECTUAL PROPERTY
All content on the Site, including text, visuals, photography, video, graphics, branding, layouts, and design (collectively, “Content”), is owned by or licensed to First Move and protected by intellectual property laws.
You may view or download Content solely for personal or internal business reference. You may not reproduce, distribute, modify, display, or exploit any Content without prior written consent.
Creative Concepts and Materials
Any concepts, strategies, proposals, creative treatments, frameworks, or ideas presented by First Move—whether publicly on the Site or privately during discussions—remain the intellectual property of First Move unless otherwise agreed in writing.

USER SUBMISSIONS
If you submit inquiries, feedback, or general information through the Site, you grant First Move permission to use such non-confidential submissions for business purposes.
This does not apply to confidential client materials shared in the context of a potential or active engagement.
You represent that you have the right to submit such information and that it is accurate.

ACCEPTABLE USE
You agree not to:
– copy or scrape Site content
– misuse the Site for unlawful or fraudulent purposes
– interfere with Site functionality or security
– misrepresent affiliation with First Move
– use Site materials to compete with First Move
We reserve the right to restrict access for violations.

NO CLIENT RELATIONSHIP
Use of this Site does not establish any client, agency, partnership, employment, or joint venture relationship. Services are provided only pursuant to written agreements.

NO GUARANTEE OF RESULTS
First Move does not guarantee specific business results, audience growth, sales performance, engagement metrics, or campaign outcomes. Creative and marketing services involve variables beyond our control, including platform algorithms, market conditions, and audience behavior.

THIRD-PARTY SERVICES
Our work may involve third-party platforms, venues, creators, vendors, or service providers. First Move is not responsible for the actions, performance, or policies of any third party.

PORTFOLIO RIGHTS
Unless otherwise agreed in writing, First Move reserves the right to display completed projects, client names, and related materials for portfolio, marketing, and promotional purposes.

PRE-ENGAGEMENT CONFIDENTIALITY
Information shared prior to a formal written agreement is not considered confidential unless expressly stated in writing.

INDEPENDENT CONTRACTOR
First Move operates as an independent contractor. Nothing herein creates employment, partnership, joint venture, or agency relationships.

FORCE MAJEURE
First Move shall not be liable for delays or failure to perform due to circumstances beyond reasonable control, including acts of God, venue closures, strikes, pandemics, governmental actions, or similar events.

PRIVACY
Your use of the Site is subject to our Privacy Policy, incorporated by reference.
The Site is hosted in the United States. By using it, you consent to processing of your data in the U.S.

TERM AND TERMINATION
These Terms remain in effect while you use the Site. We may suspend or terminate access at our discretion for violations of these Terms or applicable law.

SITE AVAILABILITY
We do not guarantee uninterrupted access to the Site and may modify or discontinue any part of it at any time.

GOVERNING LAW
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

DISPUTE RESOLUTION
Any dispute shall first be attempted to be resolved informally.
If unresolved, disputes shall be resolved by binding arbitration in Miami-Dade County, Florida, except for claims relating to intellectual property or injunctive relief.
Both parties waive jury trial and class action rights.
Notwithstanding the foregoing, First Move may seek injunctive or equitable relief in court to protect its intellectual property or confidential materials.

DISCLAIMER
The Site is provided “as is” and “as available.” We make no warranties regarding accuracy, completeness, or availability. Use of the Site is at your own risk.

NO RELIANCE
You acknowledge that any information provided on this Site is for general informational purposes only and should not be relied upon as the basis for business, legal, or financial decisions.

LIMITATION OF LIABILITY
To the fullest extent permitted by law, First Move shall not be liable for indirect, incidental, consequential, or punitive damages.
Our total liability shall not exceed the amount actually paid to First Move under the most recent invoice, or $25,000, whichever is less. 

INDEMNIFICATION
You agree to indemnify and hold harmless First Move from claims arising from your misuse of the Site or violation of these Terms.

ELECTRONIC COMMUNICATIONS
You consent to electronic communications and agree they satisfy legal writing requirements.

MISCELLANEOUS
These Terms constitute the entire agreement regarding Site use. Our failure to enforce any provision shall not constitute a waiver. If any provision is unenforceable, remaining provisions remain valid. We may assign our rights at any time. Nothing herein creates a partnership, joint venture, or agency relationship.
